Count Your Februaries, Not Your First Year

Rhode Island Measures This Relationship in Februaries

Most states date your yearly obligation from the day you formed. Rhode Island does not. The annual report window opens on February 1 and closes on May 1, the same three months for every LLC on the register, and the calendar year in which you organize is skipped outright. Your first report comes due the following spring.

That calendar changes how agent pricing should be read. There is no such thing as a one-year agent relationship in Rhode Island, because the state keeps asking for a named agent on record for as long as the company draws breath. The useful unit is not the first year. It is the number of Februaries you expect your company to live through.

Two Numbers, and You Will Meet the Second One Far More Often

Moving the Appointment Off ZenBusiness: Form 642, $20, Business Services

Rhode Island prices the handover at twenty dollars and asks for one document, Form 642, which the state calls a Statement of Change of Resident Agent and/or Address; the limited liability company edition is the one you want. It goes to Business Services, the division inside Rhode Island's Department of State that keeps entity records, and you can send it on paper or push it through the online business filing system the state operates. Nothing about it requires a lawyer, and the outgoing provider gets no vote in the matter.

Sequence is where people trip. The form wants the name of whoever is taking over and offers nowhere to record that nobody is, which tells you how the state thinks about vacancies. So the order runs: enroll with us, copy our Rhode Island details onto the statement, file it with the $20, watch your entity record until our name appears on the resident agent line, and only then switch off the ZenBusiness renewal. Cancel first and you have either paid two providers for the same month or handed the state a blank where a name belongs.

There is a Rhode Island reason to care about that blank beyond tidiness. Before February 1 each year, the state posts its courtesy reminder about the annual report to the agent of record, not to the members and not to whatever email address was typed in at formation. Whoever sits on that line receives the state's prompt. An empty line, or a stale one, means the prompt goes somewhere that no longer reads your mail, and the difference between the $50 report and the $75 one arrives entirely by post.
