What "Foreign" Actually Means

In legal language, "foreign" doesn't mean international — it just means out-of-state. An LLC formed in Delaware that opens an office in Rhode Island is a "foreign LLC" from Rhode Island's perspective. The same applies to corporations and other entity types.

Rhode Island General Laws § 7-16-49 calls for registration with the Secretary of State before an outside LLC transacts business here. The law doesn't define that phrase; § 7-16-54(e) instead names activities that fall outside it, such as handling lawsuits, member meetings, bank accounts, sales through independent contractors, interstate commerce, and an isolated deal finished within thirty days. Unlike many states, owning property isn't on Rhode Island's list.

The general process for registering an out-of-state entity in Rhode Island:

1. Order proof of good standing. Rhode Island accepts a good standing certificate or letter of status from home, dated within 60 days of filing. Spell your name on the application exactly the way that document does.

2. Designate a Rhode Island resident agent. You can use a commercial resident agent service or appoint an individual who lives in Rhode Island.

3. File Form 450 ($150). The Application for Registration for a Foreign Limited Liability Company costs $150 on paper (by mail or in person in Providence), or $150 plus a $6 access fee online. Successful filings aren't mailed back; you'll see the registration in the state's business database.

4. File the $50 annual report each spring. Starting the year after you register, file between February 1 and May 1. Thirty days late adds a $25 penalty, and Rhode Island's Division of Taxation will also expect filings from every registered entity.
