Terms of Service

Effective: July 10, 2026

These Terms of Service govern your use of riregisteredagent.org (the "Site") and the resident agent service (the "Service") provided by Rhode Island Registered Agent ("we," "us," "our"). Enrolling in the Service or using the Site means you accept these Terms.

1. What's Included at $99/Year

• A Rhode Island resident agent address that satisfies Secretary of State requirements
• Acceptance of service of process and official state correspondence sent to your entity
• Same-day scanning and electronic delivery of anything we receive on your behalf
• An online portal holding digital records of everything scanned for you
• Advance reminders ahead of your February 1–May 1 annual report window and Rhode Island's mandatory $400 tax charge

Mailing you a physical original — including for legal documents — is a separate, per-piece paid service and isn't part of the annual fee.

2. Eligibility

To enroll, you must:

• Be at least 18 years old
• Have authority to act on behalf of the entity you're enrolling
• Provide accurate information and keep it current

3. Pricing and Billing

• The Service is billed at $99 per year, charged at signup and on each annual renewal
• Payments run through our third-party payment processor
• We give at least 30 days' notice before any price change takes effect on a future renewal
• Non-payment at renewal may result in a service pause after we attempt to reach you

4. Term and Renewal

Your plan runs 12 months from your enrollment date and renews automatically unless canceled beforehand. We send a reminder ahead of each renewal.

5. Your Responsibilities

By using the Service, you agree to:

• Keep your entity's name, contact information, and account details current
• Tell us promptly about changes to your entity's structure or contact information
• Check your email and portal, and act on time-sensitive items within their deadlines
• Independently maintain your entity's good standing with the Rhode Island Secretary of State
• Line up a replacement resident agent before your service with us ends

6. How We Handle Documents

• We're available to accept deliveries Monday through Friday, during posted business hours
• Documents are typically scanned and posted to your portal, with an email notification, the same business day we receive them
• We don't review or act on the substance of anything we receive — our role is limited to accepting and relaying it
• Physical originals are held for a limited period and then securely destroyed, unless you've arranged separate per-piece mailing
• We aren't responsible for the legal outcome of any document accepted on your entity's behalf

7. We Are Not a Law Firm

Rhode Island Registered Agent is a resident agent service, not a law firm. We don't provide legal, tax, or business formation advice. For anything requiring legal judgment, talk to a licensed Rhode Island attorney.

8. Limitation of Liability

To the extent the law allows:

• Our total liability for any claim tied to the Service is capped at the fees you paid in the preceding 12 months
• We aren't liable for indirect, incidental, or consequential damages
• We aren't responsible for delays caused by circumstances outside our reasonable control, including postal disruptions or system outages

9. Cancellation

Email support@riregisteredagent.org to cancel. Cancellation takes effect at the end of your current paid term; fees aren't refundable except at our discretion. You remain responsible for having a replacement resident agent on file with the Rhode Island Secretary of State before your service with us ends.

10. Indemnification

You agree to indemnify and hold harmless Rhode Island Registered Agent and its owners, staff, and agents from claims or costs, including reasonable legal fees, arising from your use of the Service or a breach of these Terms.

11. Governing Law

These Terms are governed by the laws of the State of Rhode Island.

12. Changes to These Terms

We may revise these Terms periodically. Updates will appear here with a new effective date; continuing to use the Service after changes means you accept them.

13. Severability

If any provision of these Terms turns out to be unenforceable, the rest stay in effect.

14. Entire Agreement

Together with our Privacy Policy, these Terms make up the complete agreement between you and Rhode Island Registered Agent regarding the Service.
