Bizee's Free Months End on a Date. Rhode Island's Reminder Arrives on Its Own.

The Bundle Is Genuinely Worth Something

Bizee, which spent years trading as Incfile, hands you agent coverage at no charge when they form your company. If Bizee is filing your Articles of Organization anyway, those months are real money you do not spend, and a page that sneered at free coverage would be a page arguing in bad faith.

Formation is a one-time event, though, and agent service is not. Standalone, once the bundled stretch expires, Bizee charges $149 a year.

Where the Two Calendars Collide

Every Rhode Island LLC lives on a fixed schedule. The annual report window opens February 1 and shuts May 1. Slack runs to May 31. On June 1 a $25 penalty attaches on top of the $50 fee, and continued silence eventually puts the company in front of revocation proceedings.

Now lay the Bizee clock over that. A free period of three, six, or twelve months starts on your formation date, which for most owners is a random Tuesday somewhere in the year. It does not land on February 1 and it has no reason to. So the two calendars run out of phase, and there is a fairly common shape to how that goes wrong: the free coverage quietly ends in the autumn, nobody notices because no invoice ever taught you to watch for one, and the state's February reminder is then posted to an agent relationship that has already gone cold.

That reminder is the part worth dwelling on. Rhode Island sends its courtesy notice about the annual report to whoever holds the agent appointment, not to the members. It is the only unprompted warning the state issues. A lapsed or inattentive agent does not merely cost you a service; it costs you the notice.

The fix is not complicated. On the day you buy the formation package, write the expiry date in whatever calendar you actually check, and set the reminder for a month before it, not the week of.

The sequencing rule matters more with a free arrangement than with a paid one, because there is no invoice to remind you which state you are in.
